Please read these Terms and Conditions carefully before using the services provided by USKUT LLC, operating under the brand name Aseya (“we,” “us,” or “our”). By purchasing, accessing, or using our services, you agree to be bound by these Terms and Conditions.

1. Acceptance of Terms

By accessing or using our services, website, application, programs, check-ins, protocols, messaging support, or coaching sessions, you agree to these Terms and Conditions. If you do not agree, please do not use our services.

2. Description of Services

We provide educational, coaching, wellness, and personal development services focused on nervous system regulation, emotional wellbeing, stress management, habit formation, resilience, and self-awareness.

Services may include:

  • Personalized nervous system protocols
  • Daily and weekly check-ins
  • Progress tracking
  • Educational content
  • Messaging support
  • One-on-one coaching sessions
  • Personalized recommendations and guidance

The specific services available to you depend on the plan you purchase.

3. No Medical, Psychological, or Psychiatric Treatment

Our services are intended for educational, informational, coaching, and wellness purposes only.

The services do not constitute:

  • Medical advice
  • Medical treatment
  • Mental health treatment
  • Psychotherapy
  • Psychiatric care
  • Diagnosis of any medical or mental health condition
  • Crisis intervention
  • Emergency services

Participation in our programs does not create a therapist-client, psychologist-client, physician-patient, or other healthcare provider relationship unless explicitly agreed to in a separate written contract governed by applicable law.

You should consult qualified healthcare professionals regarding any medical or mental health concerns.

4. Emergency Situations

Our services are not designed to respond to emergencies.

If you are experiencing:

  • Suicidal thoughts
  • Thoughts of harming yourself or others
  • A mental health crisis
  • A medical emergency

Contact emergency services, a crisis hotline, or a qualified healthcare professional immediately. Do not rely on our messaging support, check-ins, or sessions during emergencies.

5. Eligibility

You must be at least 18 years old to use our services. By using the services, you represent that:

  • You are at least 18 years old.
  • You have the legal capacity to enter into this agreement.
  • The information you provide is accurate and complete.

6. Client Responsibilities

You acknowledge and agree that you are solely responsible for:

  • Your decisions and actions.
  • The information you provide.
  • How you implement recommendations.
  • Seeking professional medical or mental health care when appropriate.

You understand that meaningful results depend on many factors, including your participation, consistency, circumstances, and personal effort.

7. No Guarantee of Results

Individual results vary. While many individuals may experience improvements in areas such as stress management, emotional regulation, sleep, focus, productivity, and overall wellbeing, we do not guarantee any specific outcome, result, improvement, or benefit.

8. Subscription Plans

Guided Support Plan

The Guided Support Plan includes:

  • Personalized 30-day nervous system protocol
  • Daily check-ins
  • Weekly check-ins
  • Ongoing protocol adjustments
  • Weekly text-based support from Aseya

Deep Support Plan

The Deep Support Plan includes:

  • Personalized 30-day nervous system protocol
  • Daily check-ins
  • Weekly check-ins
  • Ongoing protocol adjustments
  • One 60-minute one-on-one session per week with Aseya

Availability may be limited. In the event that we are unable to accommodate your enrollment in the Deep Support Plan due to capacity constraints, you will be offered a full refund or the option to join a waitlist.

9. Messaging Support

Messaging support is provided during normal business operations and is not monitored continuously. We do not guarantee:

  • Immediate responses
  • Real-time communication
  • Responses outside business hours
  • Responses on weekends or holidays

Messaging support must not be used for emergencies.

10. Scheduling and Attendance

For plans that include one-on-one sessions:

Rescheduling

Sessions may be rescheduled with at least 24 hours’ notice.

Late Cancellations

Sessions canceled less than 24 hours before the scheduled time may be considered used and may not be rescheduled.

No-Shows

If you fail to attend a scheduled session without notice, the session may be forfeited.

11. Fees and Payments

All fees are stated in U.S. dollars unless otherwise specified. By purchasing a subscription, you authorize recurring billing according to your selected plan. You are responsible for maintaining valid payment information and for any taxes, duties, or fees applicable in your jurisdiction. Failure to process payment may result in suspension or termination of access.

12. Cancellation

You may cancel your subscription at any time. Cancellation prevents future billing but does not provide a refund for payments already made. Access remains available until the end of the current billing period unless otherwise stated.

If you cancel during an active 30-day protocol, you forfeit access to the remaining portion of that protocol period. No partial refunds will be issued for unused days within an active protocol cycle.

13. Refund Policy

Due to the personalized nature of our services, protocols, support, and time invested in providing individualized guidance, all payments are generally non-refundable.

No refunds will be issued for:

  • Partial use of services
  • Failure to participate
  • Missed sessions
  • Unused messaging support
  • Cancellation mid-protocol
  • Change of mind

The sole exception is unavailability on our part: if we are unable to provide the Deep Support Plan as described due to capacity limitations, a full refund will be issued. Any other exceptions are made solely at our discretion.

14. Confidentiality

We respect your privacy and will make reasonable efforts to maintain confidentiality regarding information you share. However, you acknowledge that internet communications are not completely secure, that absolute confidentiality cannot be guaranteed, and that third-party technology providers may process information necessary to deliver services.

15. Privacy

Information collected through onboarding forms, check-ins, communications, questionnaires, and program participation may be used to deliver services, personalize recommendations, improve the user experience, and provide customer support. 16. Intellectual Property

All content provided through our services — including protocols, worksheets, exercises, videos, audio recordings, written materials, educational content, and branding — remains the intellectual property of USKUT LLC unless otherwise stated. You may not copy, reproduce, distribute, sell, share, modify, or create derivative works without prior written permission.

17. Prohibited Use

You agree not to misuse the services, harass or threaten others, attempt unauthorized access to systems, share access credentials, or use the services for unlawful purposes. We reserve the right to terminate access for violations of these Terms.

18. Limitation of Liability

To the fullest extent permitted by law, our total liability arising out of or related to the services shall not exceed the total amount paid by you during the thirty (30) days preceding the event giving rise to the claim. We shall not be liable for indirect, consequential, or incidental damages, lost profits, loss of data, emotional distress, or business interruption arising from your use of the services.

19. Indemnification

You agree to indemnify and hold harmless USKUT LLC, its affiliates, contractors, employees, and representatives from any claims, damages, liabilities, losses, costs, or expenses arising from your use of the services, your violation of these Terms, or your violation of applicable laws or regulations.

20. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the services, the parties agree to first attempt resolution through good-faith negotiation. If negotiation does not resolve the dispute within 30 days, the parties agree to submit to non-binding mediation before a mutually agreed mediator prior to initiating any legal proceedings.

If mediation is unsuccessful, any legal action shall be brought exclusively in the courts of the State of Wyoming, United States, and both parties consent to personal jurisdiction in that forum.

21. Compliance with Local Laws

Our services are operated from the United States. You are solely responsible for ensuring that your use of the services complies with the laws and regulations applicable in your jurisdiction. By accessing the services, you represent that doing so does not violate any laws applicable to you. We make no representation that the services are appropriate or available in all locations.

22. Right to Modify Services

We reserve the right to modify, suspend, or discontinue any aspect of the services at any time. We may also update these Terms and Conditions periodically. We will notify you of material changes by email. Continued use of the services after changes constitutes acceptance of the updated Terms.

23. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.

24. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
